Kobre & Kim’s Zachary Rosenbaum will be speaking at the VALCON 2026 conference on the “Valuations in LMEs" panel in New Orleans on Tuesday, May 5, at 11:30 am ET. The conference is co-hosted by the American Bankruptcy Institute (ABI) and the Association of Insolvency & Restructuring Advisors (AIRA).
The panel will explore how enterprise value is determined in out‑of‑court liability management exercises. As these transactions have become more sophisticated, valuation has increasingly been shaped by negotiation leverage, capital structure design, cooperation agreements, and financial engineering tools such as uptiers, dropdowns, and priming transactions.
The discussion will provide a framework for assessing whether an LME enhances enterprise value or primarily reallocates value among stakeholders, including the litigation and friction risks that can follow.
